Hilton Princess makes transfer of its shares in Central America to Spanish hotel group
Princess Hotels of Central America finalized the sale of shares of its subsidiary companies in Nicaragua, owners of Hotel Hilton Princess Managua, one of the most exclusive hotels in the capital.
García & Bodán Managua, through is Managing Partner Carlos Téllez and Associate Luis Ramírez, participated in the whole sale process, including the Due Diligence of the operations and legal status of the societies and their assets, as well as in the elaboration and sessions of negotiation of the share purchase agreement with the advisory team of the buyers.
The firm also advised Hilton Princess Hotel in tax matters through the Director of the Tax practice area, Melvin Estrada, who determined the reach of the existing tax regulations applicable to this type of transactions.
The transaction was also assisted by the Associates Oscar Torres, Jose Rosales and Luis Ramírez from the offices of El Salvador, Guatemala and Nicaragua respectively, and Partner Ricardo Duarte, from the office in Honduras, in the restructuring of linked credits.
The legal advice related to the legal consequences and procedures required to carry out the authorization process of economic concentration before the National Institution of Promotion of Competition, was performed by Associate Paul Rodríguez.
