Bryan Mendieta is an Associate at García & Bodán and a member of the Real Estate and Corporate-Transactional practices in Tola, Nicaragua.

  • Advising on the purchase process through which shares of a Nicaraguan company owning two real estate properties within the Hacienda Iguana Development in Tola were acquired, valued at USD 800,000.00. This advice involved the general coordination necessary to complete the due endorsement of the share certificate, drafting of the private share purchase agreement, due diligence of the real estate subject to the transaction, and corporate due diligence of the holding company and also corporate updating of the same.
  • Advising on a swap process through which all shares of 10 Nicaraguan companies owning various real estate properties within the Hacienda Iguana Development were endorsed, and in exchange, an exclusive property located in the Rancho Santana Development was contributed. This transaction took place in Nicaragua, and the involved parties have valued the assets related to the swap at USD 4 million.
  • Collaboration in the process of developing a legal strategy that allows the application of the “Co-ownership” concept within the Nicaraguan Legal context, through the innovation of Real Estate Administration Trusts, from which 8 “Fractional Interests” were transferred, allowing the owners of these fractional units to distribute among themselves the use of a residential unit at Rancho Santana at different times of the year. The beneficiaries of these sales were natural persons, U.S. Limited Liability Companies, and U.S. Trusts. The sum of all these transactions exceeds USD 1.6 million.
  • Collaboration in the expansion project of a Touristic Development located in Tola. Registry investigations, negotiations were conducted, and additionally, closing documents on seaside leases, property titles, hotels, and undeveloped lands of interest to she said Touristic Development were executed. The budget for the entire expansion operation is USD 4 million, currently more than USD 415,000.00 have been paid in properties acquired.
